The board of Patanjali Foods Limited has approved the proposal to acquire the home and personal care (HPC) business of Patanjali Ayurved Limited. This acquisition is expected to accelerate Patanjali Foods’ transition into a leading FMCG company.

Key Segments

The HPC business of Patanjali Ayurved includes dental care, skin care, home care, and hair care. It has strong brand equity and a loyal consumer base across India.

Strategic Initiative

This strategic move will strengthen Patanjali Foods’ FMCG product portfolio and contribute to growth in revenue and EBITDA. The acquisition includes all assets, liabilities, employees, distribution networks, contracts, licenses, permits, and approvals related to the business.

Regulatory Approvals

The closing of the acquisition is subject to regulatory approvals. A licensing agreement will allow the use of trademarks and intellectual property rights owned by Patanjali Ayurved.

Financial Details

The acquisition has been valued at Rs 1,100 crore, subject to customary closing date adjustments. The deal aims to consolidate the ‘Patanjali’ brand FMCG products portfolio and bring multiple synergies in brand equity, product innovations, cost optimization, and market share.
