Gujarat State Petronet Limited Approves Merger with Gujarat Gas Limited
Gujarat State Petronet Limited (GSPL) has announced a major restructuring plan. This plan will merge Gujarat State Petroleum Corporation (GSPC), GSPL, and GSPC Energy Limited (GEL) into Gujarat Gas Limited (GGL). The goal is to improve business synergy and operational efficiency.
The decision was made during a board meeting on August 30, 2024. Under the merger terms, GSPC shareholders will get 10 shares of Gujarat Gas for every 305 shares they hold. GSPL shareholders will get 10 shares of Gujarat Gas for every 13 shares they hold.
Additionally, a new company called GSPL Transmission will be created and listed separately. This new company will focus only on gas transmission, making operations more streamlined.
The merger aims to simplify the complex holding structure. Currently, GSPC owns 37.6% of GSPL, and GSPL owns 54.2% of Gujarat Gas. By merging, these stakes will be consolidated under one entity, making operations simpler and more efficient.
The merger is expected to unlock significant value for shareholders by eliminating related party transactions. For example, Gujarat Gas currently buys gas from GSPC. After the merger, this transaction will be eliminated, potentially increasing Gujarat Gas’s operating profits.
Gujarat Gas will also become the only city gas distribution company with direct access to gas sourcing and trading, giving it a competitive edge.
